License Agreement

INTEGRAAL SOFTWARE END USER LICENSE AGREEMENT FOR IXFILE COMPONENTS

This is a legal agreement between you (either an individual or a single entity) and Integraal Software ("INTEGRAAL") for the use of the IXFile Components ("SOFTWARE") with which this Agreement is provided, including associated media, printed materials, and on-line or electronic documentation. The term "SOFTWARE" also shall include any upgrades, modified versions or updates of the SOFTWARE licensed to you by INTEGRAAL. You should carefully read the following terms and conditions before you install or use the SOFTWARE.


BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE FOLLOWING TERMS AND CONDITIONS, DO NOT INSTALL OR USE THE SOFTWARE.

1. LICENSE GRANT. The SOFTWARE is licensed, not sold, to you, in object code form only for use exclusively under the terms of this Agreement, and INTEGRAAL reserves all rights not expressly granted to you in this Agreement. For each license key purchased, you are granted a nonexclusive license to provide the SOFTWARE to the number of your developers indicated by the license key, for the sole purpose of developing and maintaining applications using the SOFTWARE. Each developer on a project utilizing the SOFTWARE requires a separate license, whether they directly use the SOFTWARE or not. This means "one license for EVERY developer on the project", NOT "one license per developer using the SOFTWARE." Each developer may be involved in unlimited number of projects utilizing the SOFTWARE, as long as the total number of developers in all such projects does not exceed number of licenses purchased. Licenses may not be transferred between developers. If a license key indicates a "Site License", an unlimited number of developers may develop and maintain applications using the SOFTWARE at one physical street address. If a license key contains an expiration date or does not indicate the type of license, it is considered temporary, and developers may use it for the sole purpose of evaluating the SOFTWARE.
   
   
2. LICENSE TYPES.
   • DEVELOPER LICENSE. Developer license grants you the right to integrate the SOFTWARE into your commercial applications and to distribute it royalty free with such applications, as specified in DISTRIBUTION section. Developer license is permanent, issued for specified number of developers.
     
     
   • PERSONAL LICENSE. Personal license grants you the right to integrate the SOFTWARE into your non-commercial applications only. It does not grant you the right to distribute the SOFTWARE with your applications; you can use such applications for your own purposes only. Personal license is permanent, issued for one developer.
     
     
   • TRIAL LICENSE. Trial license is provided for the sole purpose of evaluating the SOFTWARE. It gives you the right to build test applications only, to see if SOFTWARE fits your particular purposes. Trial software cannot be used in production environment nor can be redistributed with your applications. Trial license is temporary, issued for one developer.
   
   
3. DISTRIBUTION. When you purchase a DEVELOPER license key, you are granted a nonexclusive, royalty-free license to integrate the SOFTWARE into your applications and to distribute them, provided that such applications do not in any way compete with the SOFTWARE or expose the functionality of the SOFTWARE through a programmable interface. Along with your applications, redistributable components of the SOFTWARE may be also distributed. Redistributable components are located in "REDIST" directory of the SOFTWARE installation. You cannot distribute other files like headers, static libraries, samples, documentation and installation package itself. License keys embedded in your applications must not be visible to the end users.
   
   
4. COPYRIGHT. The SOFTWARE is owned by INTEGRAAL and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. This agreement does not grant you any intellectual property rights in the SOFTWARE.
   
   
5. RESTRICTIONS. You may not modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the SOFTWARE. You may not alter or modify the installer program or create a new installer for the SOFTWARE. You may not rent, lease or lend the SOFTWARE. Backup copies may be made of the SOFTWARE provided that they are solely for backup purposes. Backup copies may not be used to give additional developers access to the SOFTWARE. You may not use the evaluation SOFTWARE in production environment nor distribute applications built with trial or temporary license keys.
   
   
6. WARRANTY. The SOFTWARE is provided to you "AS IS" and INTEGRAAL makes no express or implied warranties whatsover with respect to its functionality, operability or use. INTEGRAAL does not warrant the performance or results you may obtain by using the SOFTWARE and makes no warranties, express or implied, as to noninfringement of third party rights, merchantability, or fitness for any particular purpose. In no event will INTEGRAAL be liable to you for any consequential, incidential or special damages, including any lost profits or lost revenues. INTEGRAAL will have no liability with respect to any data that is read, written, accessed, stored or otherwise processed with the SOFTWARE.
